Service details, scope, pricing, and deliverables are confirmed in individual quotations or project agreements.
3. Acceptance of Terms
By using our website or purchasing any of our services, you confirm that you:
Are at least 18 years old, or have legal capacity to enter into contracts
Have read, understood, and agreed to these Terms
Will comply with applicable Dutch and EU laws
4. Project Terms & Workflow
A project officially begins once the client approves the proposal and makes the initial payment or deposit.
All project milestones, timelines, and deliverables will be clearly stated in writing.
The client must provide necessary information (content, images, credentials, etc.) promptly to avoid delays.
Any additional requests or scope changes made after project start may incur extra charges and timeline adjustments.
5. Payments & Pricing
All prices are quoted in EUR (€) unless stated otherwise.
Payments must be made according to the agreed milestones or invoice terms.
A non-refundable deposit (typically 30–50%) is required to initiate most projects.
Remaining payments are due upon completion, before final delivery or website launch.
Late payments may result in suspension of services.
6. Revisions & Changes
We offer revisions as outlined in your selected service package.
Additional revisions, major design changes, or extra features beyond the agreed scope will be billed separately.
7. Client Responsibilities
The client agrees to:
Provide accurate and complete information needed for the project.
Review deliverables and provide timely feedback.
Ensure all materials provided (text, logos, images, etc.) are owned by the client or licensed for use.
Codexa Design is not responsible for copyright issues arising from client-provided materials.
8. Intellectual Property
Upon full payment, ownership of the final deliverables (website, logo, design files, etc.) is transferred to the client.
Codexa Design retains the right to display non-confidential work samples in portfolios or marketing materials.
All pre-existing code, frameworks, and tools developed by Codexa Design remain our intellectual property.
9. Domain & Hosting
If Codexa Design provides domain or hosting services:
Hosting plans are billed monthly or annually.
We maintain secure, high-performance hosting but cannot guarantee uninterrupted uptime due to third-party dependencies.
Clients are responsible for renewing domains and hosting on time to avoid service disruption.
10. Cancellations & Refunds
Projects can be canceled by either party with written notice.
Deposits are non-refundable once work has begun.
If a client cancels after partial completion, charges apply for work done to date.
Refunds are not issued for completed or delivered services.
11. Maintenance & Support
Post-launch support and maintenance are available under separate monthly or annual plans.
Support includes technical assistance, updates, backups, and security checks as defined in the plan.
12. Limitation of Liability
Codexa Design will not be liable for:
Any indirect, incidental, or consequential damages
Loss of profits, revenue, or data resulting from website downtime or misuse
Issues caused by third-party tools, plugins, or hosting providers
Our total liability is limited to the total amount paid by the client for the specific service in question.
13. Confidentiality
We respect your confidentiality and will not share your private project information, credentials, or business data with unauthorized third parties.
14. Third-Party Tools & Integrations
Some projects may involve third-party software or APIs (e.g., Shopify, WordPress plugins, payment gateways).
Codexa Design is not responsible for updates, policy changes, or failures on the part of those third-party providers.
15. Termination of Services
We reserve the right to terminate or suspend any project or service if:
The client violates these Terms
Payments are overdue beyond agreed terms
There is misuse, abuse, or unethical activity detected on hosted sites
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the Netherlands and the European Union (EU) GDPR regulations.
Any disputes will be subject to the exclusive jurisdiction of the courts in the Netherlands.
17. Updates to These Terms
We may update or modify these Terms & Conditions at any time to reflect business or legal changes.
